Role Overview

The In-House Legal Counsel will be responsible for managing all legal aspects of the company’s operations. This includes drafting and negotiating SaaS and enterprise agreements, supporting commercial partnerships, ensuring compliance with data privacy and export regulations, handling corporate matters in Israel and the U.S., and providing legal support to cross-functional teams, including Sales, HR, Finance, R&D, and Product.

Key Responsibilities

  • Draft, review, and negotiate commercial agreements (MSA, SaaS agreements, DPA, Partner/Reseller Agreements).
  • Lead contract negotiations with enterprise customers in the U.S. and globally.
  • Advise on data protection and privacy compliance (GDPR).
  • Manage corporate governance matters for the Israeli entity and U.S. subsidiary, including board resolutions, investment agreements, and company structure.
  • Provide ongoing legal support to the Sales team during pre-sales and deal-closing processes.
  • Advise HR on employment agreements, internal policies, and labor law compliance in Israel and the U.S.
  • Partner with Product and Engineering teams on IP, open-source licensing, and Terms of Use.
  • Coordinate and manage external counsel in Israel and the U.S.


Requirements

  • Licensed attorney in Israel; U.S. bar admission is an advantage.
  • 4–7 years of experience as a commercial/hi-tech lawyer, including at least 2 years in-house.
  • Proven track record in leading complex negotiations with U.S. and global enterprise customers.
  • Strong knowledge of SaaS agreements, IP, data privacy, and employment law.
  • Full professional fluency in business and legal English.
  • Hands-on, independent, and able to work closely with executive leadership and global teams.

Nice to Have

  • Prior in-house experience in a global B2B SaaS company.
  • Background in U.S. corporate law (Delaware/California).
